Terms of service
Last updated: November 6, 2026
These terms are an agreement between you and Ellison Ellery Consulting LLC, a Florida limited liability company, doing business as Grit and Agency ("Grit and Agency," "we," "us"). Our mailing address is 821 Herndon Avenue #140501, Orlando, FL 32803.
By using this site, or buying or booking anything from us, you agree to these terms and to our Refund Policy and Privacy Policy. The Refund Policy is part of these terms. If you don't agree, please don't buy or book.
1. Who we are
We teach people to use publicly available AI tools for their homes, families and businesses. We sell digital kits, run classes and cohorts in Central Florida, and run workshops for organizations.
We're an independent business. We aren't affiliated with, endorsed by or acting for Anthropic, OpenAI or any other company whose tools we teach or build on. Claude and ChatGPT are trademarks of their owners.
2. Agreeing at checkout
- When you check the box at checkout, you agree to these terms and the Refund Policy for that purchase. Agreeing electronically counts the same as signing.
- The version that applies is the one posted on the day you buy. We keep a dated copy of every version.
- You must be 18 or older and able to make a binding agreement.
- You agree to give accurate information when you buy or book, including an email you check. Delivery depends on it.
3. Prices, payment and tax
- Prices are in US dollars and shown on each product page. We may change prices at any time, but not after you've paid.
- Our payment processor, Stripe, handles payments. We never see or store your full card number.
- Sales tax is added at checkout where the law requires it.
- Promo and gift codes are for the product and dates they name. They can't be used together unless we say so, have no cash value, can be ended at any time and can't be resold.
- Payment plans: you agree to pay every installment on the plan you chose, on the dates shown. If a payment fails, we'll tell you and give you 7 days to fix it before we pause your seat or access.
4. Digital kits and downloads
4.1 What you're buying. A digital kit is a set of instructions, templates, prompts, files and links to set up a tool in your own AI account. Some kits come with a walkthrough video, a sample or a questionnaire. Each product page lists what's included. That list is what you're buying.
4.2 Delivery. We deliver by email, to the address you gave at checkout, with a link to your kit page. Your kit counts as delivered when we send that email. If it hasn't arrived within an hour, check spam, then email us. We'll send it again.
4.3 What you need. Each product page lists what you need under "What you need" or a similar heading. For example, a paid Claude plan (Claude Pro, about $20 a month), a computer or phone, and an internet connection.
- You're responsible for getting and paying for those yourself, and for following those companies' terms.
- We aren't responsible for their pricing, outages, usage limits, plan changes or decisions about your account.
- Please check that you have what you need before you buy. Not having it isn't a reason for a refund.
4.4 Copies that live in your own account. Some kits set up a tool, page or project inside your own AI account. Once it's set up:
- it's yours to run, change and share with people in your household,
- what you type into it lives with that AI company, under their terms and privacy policy, and we can't see it,
- we can't recover, restore or move it for you if you delete it, lose access to your account, or the AI company changes or removes it.
4.5 Updates. We may improve a kit after you buy it. When we do, we'll send the new version to past buyers when it's practical, but we don't promise to. We don't owe you future products or new versions.
5. AI tools change
5.1 Our kits run inside AI tools that other companies own and change without notice. Features, plan names, prices, limits and how the tools answer can change at any time.
5.2 We built and tested each kit on the tools as they worked on the date the product page shows.
5.3 We don't promise that a kit will keep working the same way forever, on every device, or on every plan.
5.4 If a change on the AI company's side stops your kit from working within 12 months of purchase, we'll update the kit or the instructions where we reasonably can. If we can't, we'll give you a credit toward another of our products, as the Refund Policy explains. A price increase or plan change by the AI company doesn't count, as long as the kit still works. That's the whole of our responsibility for third-party changes.
6. Setup calls, and the month of questions with Wes
- A setup call is a live video session with Renee to help you set up the kit you bought. It covers that kit, not other projects.
- Wes is our AI assistant. With a setup call, you get 30 days of follow-up questions by email, starting on the day of your call. Someone on our team checks anything Wes can't answer. Wes's answers are AI output, and section 7 applies to them.
- Booking, moving and refund rules are in the Refund Policy.
- We may record a call to send you, only if you agree at the start of the call. You may not record a call without our agreement.
7. About AI output
This matters more for us than for most businesses, because what we teach is a tool that makes mistakes.
- AI tools produce wrong information, confidently. They invent dates, prices, names, sources, rules and facts.
- You're responsible for checking anything before you act on it. That goes double for anything about money, taxes, deadlines, health, legal matters, school, insurance or employment.
- Our kits include instructions that tell the AI how to behave. Those instructions reduce mistakes but don't prevent them.
- We don't control the AI tools we teach or build on, or their output, pricing, availability, terms or privacy practices.
8. We don't give professional advice
Our products and classes help with household organization, family logistics, records, budgeting habits, paperwork and small-business setup.
- Nothing we sell or teach is financial, investment, tax, legal, medical, insurance, psychological or other professional advice. We aren't licensed to give it, and our kits and the AI tools aren't either.
- A kit that helps you organize documents or plan doesn't create a will, a legal document, a tax filing or a medical plan. For those, talk to a qualified professional.
- Using our products doesn't create a professional relationship with us, such as attorney and client, accountant and client, or advisor and client.
9. Your license to our materials
Everything we make stays ours. That includes kits, prompts, instructions, templates, page code, videos, worksheets, slides, samples, emails and the structure of our classes.
When you buy, you get a personal, non-exclusive, non-transferable license to use what you bought for yourself and your household. For classes and the track, that includes your own business.
You may:
- set up and use the kit in your own accounts,
- change it for your own use,
- share the finished tool with people in your household,
- share what you finished for its intended purpose. For example, you can give a completed family record to an executor or caregiver, or a finished business plan to an adviser. That doesn't cover sharing the blank kit, its prompts or anything that lets someone else use the kit on their own.
You may not:
- copy, share, post, upload, resell, give away or distribute the kit, its files, prompts or instructions, or your kit page link, paid or free,
- use them to build or sell a competing product or course,
- teach, train or set up the kit for anyone outside your household,
- remove our name or notices from them,
- use them to train an AI model.
Your information stays yours. We don't own your records or what you make with a kit. Our templates and prompts inside a finished copy are still covered by this license.
Classes and sessions: you may not record, film or livestream them without our written permission.
If you break this section, we may end your license and access without a refund. We may also take other steps the law allows. Your license also ends if we refund your purchase or a chargeback on it is decided in your favor. Please delete your copies when that happens.
10. Chargebacks and payment disputes
Please contact us first. Our Refund Policy lists every way we put things right, and we answer within one business day. This is a request. It doesn't limit your right to dispute a charge or meet a bank's deadline.
If you dispute a charge with your bank or card company:
- we'll send them evidence of your order, your agreement to these terms, and the delivery and your access, or your attendance,
- we may pause your access to the product, and to any call, seat or questions with Wes, until the dispute is resolved,
- we may decline future orders and bookings from you.
If the dispute is resolved in our favor, your access comes back. If you dispute a charge for a product you received as described, we may seek the amount owed, plus the dispute fee, as the law allows.
11. Classes, cohorts and workshops
- Your seat is confirmed when we receive payment, not when you register. Seats are capped and filled in the order payments arrive.
- You may not resell a seat or advertise one for sale. Who can send someone in their place is in the Refund Policy.
- We may change a venue, date, instructor or session order when we need to. We'll tell you as soon as we know.
- We may refuse or cancel any booking, including for repeated no-shows or conduct that affects others. If we cancel a booking for a reason that isn't about your conduct, you get a full refund.
- We may remove anyone whose conduct disrupts a class, without a refund.
- In person, you're responsible for your own belongings, devices and accounts. Follow the venue's rules.
- Corporate and organizational bookings: a written proposal or email confirmation sets the scope, date, headcount and fee. If it conflicts with these terms, the proposal wins. You're responsible for your people knowing they're attending, and for anything the proposal says you'll provide.
12. What you agree to do
- Keep private what other attendees share in a class.
- Don't bring anyone else's sensitive personal information into a class or a kit without their knowledge.
- Don't use our products for anything illegal, or to harass, deceive or harm anyone.
- Don't try to break, overload or get unauthorized access to our site, kit pages or systems.
13. Disclaimers and limitation of liability
To the fullest extent the law allows:
- Our products, classes and site are provided "as is" and "as available." We disclaim all warranties not stated in these terms, including merchantability, fitness for a particular purpose and non-infringement. Our only promises about a product are on its product page and in the Refund Policy.
- No guarantee of results. We can't promise any outcome, saving, income, result or amount of time recovered. Those depend on what you do. Any result an attendee or buyer shares is theirs, not a promise of yours.
- We aren't liable for indirect, incidental, special, consequential or punitive damages. That includes lost profits, lost data, lost opportunity, and anything caused by an AI tool, a third-party platform, or a decision you made based on AI output.
- Our total liability for any claim about a product, call or class is limited to the amount you paid us for it.
Some states don't allow some of these limits. Where that's the case, they apply as far as the law allows.
14. Indemnity
If someone else makes a claim against us because you used our materials unlawfully or broke these terms, you agree to cover our reasonable costs of that claim, as far as the law allows. You only cover the part you're responsible for, and never claims caused by our own conduct. We'll tell you about the claim promptly and won't settle it in a way that puts obligations on you without your agreement.
15. Resolving disagreements
- Talk to us first. Before filing any claim, email wes_ai@gritandagency.com with what happened and what you're asking for, and give us 30 days to try to resolve it. This doesn't stop you from meeting a legal or bank deadline, or from contacting a regulator.
- Governing law: these terms are governed by Florida law.
- Where claims go: any claim goes to small claims court, if it qualifies, or to the state or federal courts in Orange County, Florida. You and we both agree to those courts.
- Any claim must be brought within one year after it arises, where the law allows.
16. The website
- The site is provided as is. We don't promise it's always available, error-free or current.
- We may change, move or remove content, products and pages.
- Links to other sites aren't endorsements, and we aren't responsible for them.
- Product images and sample families are illustrations. Sample names, prices and details are made up unless we say otherwise.
17. Not for children
Our products and classes are for adults. The site isn't directed at anyone under 18, and we don't knowingly collect information from children.
18. Changes to these terms
We may update these terms. The version posted on the day you buy or book applies to that purchase. We'll put a new date at the top when they change.
19. The legal fine print
- Entire agreement. These terms, the Refund Policy, the Privacy Policy and anything on the product page you bought from are the whole agreement for that purchase. A signed proposal can add to them.
- Your legal rights. Nothing in these terms or the Refund Policy takes away consumer rights the law doesn't let a business waive.
- Severability. If a court finds any part unenforceable, that part is limited as needed, and the rest still applies.
- No waiver. If we don't enforce a term once, we can still enforce it later.
- Assignment. You can't transfer your rights under these terms. We may transfer ours, for example if the business is sold.
- Survival. Sections 7 through 10 and 13 through 15 still apply after your purchase or access ends.
- Events outside our control. We aren't responsible for delays or failures caused by events outside our reasonable control, such as outages at an AI company, payment processor or host, storms, illness or venue closures.
